Please read these Terms of Service carefully before using the Meerkads platform or website. By accessing or using our services, you agree to be bound by these terms. If you do not agree, do not use our services.
1. Definitions
"Meerkads", "we", "our", or "us" refers to Meerkads LLC, a Delaware limited liability company.
"Platform" refers to the Meerkads web application, including all features, tools, dashboards, APIs, and integrations.
"Website" refers to our marketing and informational website.
"User", "you", or "your" refers to any individual or entity that accesses or uses the Platform or Website.
"Subscription" refers to a paid or trial access plan to the Platform.
"Brand" refers to the unit of account used for billing purposes within the Meerkads pricing model.
2. Acceptance of Terms
By creating an account, starting a free trial, or using the Platform in any way, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to these Terms of Service and our Privacy Policy.
3. Account Registration and Security
3.1 Account Creation
To use the Platform, you must register for an account by providing accurate and complete information. You are responsible for keeping your account information up to date.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@meerkads.com if you suspect unauthorized access to your account.
3.3 One Account Per Brand
Each subscription is tied to a Brand as defined under your plan. You may not share account access across multiple organizations or resell access to the Platform without our prior written consent.
4. Subscriptions and Billing
4.1 Plans
Meerkads offers subscription plans on a monthly or annual basis. Plan details, features, and pricing are described on our website. We reserve the right to modify pricing with advance notice to existing subscribers.
4.2 Free Trial
We offer a 7-day free trial for new accounts. No payment is required to start a trial. At the end of the trial period, your account will require a paid subscription to continue accessing the Platform. Trial accounts that are not converted to paid subscriptions will be deactivated.
4.3 Billing and Payment
Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis according to your chosen billing cycle (monthly or annual). All fees are in US Dollars unless otherwise stated.
4.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period: the end of the current month for monthly plans, or the end of the current annual term for annual plans. You will retain access to the Platform until the end of the paid period.
4.5 Refund Policy
All fees are non-refundable. If you have used your free trial prior to subscribing, no refund will be issued upon cancellation. We do not provide prorated refunds for unused portions of a subscription period.
Exceptions may apply in cases required by law. Certain jurisdictions, including countries within the European Union, may grant statutory cancellation or withdrawal rights. Where applicable law requires a refund or right of withdrawal, we will honor those rights. If you believe you are entitled to a statutory refund, please contact us at info@meerkads.com.
4.6 Taxes
Prices do not include applicable taxes, levies, or duties. You are responsible for all taxes associated with your subscription, except for taxes based on our net income.
5. Use of the Platform
5.1 License
Subject to your compliance with these Terms and payment of applicable fees, Meerkads grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.
5.2 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You may not:
Use the Platform to violate any applicable law or regulation
Attempt to gain unauthorized access to any part of the Platform or its related systems
Use the Platform to transmit harmful, fraudulent, or deceptive content
Reverse engineer, decompile, or disassemble any part of the Platform
Resell, sublicense, or otherwise make the Platform available to third parties without our written consent
Use automated scripts or bots to access the Platform in a manner that exceeds normal usage
5.3 Third-Party Integrations
The Platform allows you to connect third-party services such as advertising platforms, ecommerce stores, and analytics tools. You are responsible for ensuring you have the right to connect those accounts and that doing so complies with the terms of those third-party services. Meerkads is not responsible for the availability, accuracy, or performance of third-party platforms.
5.4 AI-Generated Content
The Platform includes features that generate ad creatives, copy, analysis, and recommendations using AI. AI-generated content is provided for informational and operational purposes. You are solely responsible for reviewing, approving, and publishing any content generated through the Platform. Meerkads does not guarantee the accuracy, legality, or fitness for purpose of AI-generated outputs.
6. Your Data and Content
6.1 Ownership
You retain all rights to the data, content, and materials you upload or connect to the Platform ("Your Data"). By using the Platform, you grant Meerkads a limited license to access, process, and use Your Data solely to provide and improve the services described in these Terms.
6.2 Data Accuracy
You are responsible for the accuracy and legality of Your Data. Meerkads does not verify the content of data you provide or connect.
6.3 AI Model Improvement
We may use aggregated and de-identified data derived from platform usage to improve our AI models and features. We will not use your individually identifiable business data or ad account data to train third-party AI models without your consent. You may opt out of this use through your account settings or by contacting info@meerkads.com.
6.4 Data on Termination
Upon termination or expiration of your subscription, we will retain your data for one (1) year before deletion, in accordance with our Privacy Policy. You may request earlier deletion by contacting info@meerkads.com.
7. Intellectual Property
7.1 Platform Ownership
Meerkads and its licensors retain all intellectual property rights in the Platform, including all software, designs, trademarks, and content created by Meerkads. Nothing in these Terms transfers any ownership rights to you.
7.2 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant Meerkads a royalty-free, perpetual, irrevocable license to use that feedback for any purpose without compensation to you.
8. Confidentiality
Each party may have access to confidential information of the other party. Both parties agree to keep such information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation does not apply to information that is publicly available, independently developed, or received from a third party without restriction.
9. Warranties and Disclaimers
9.1 Platform Availability
We strive to maintain platform availability but do not guarantee uninterrupted or error-free operation. The Platform is provided on an "as is" and "as available" basis.
9.2 Disclaimer of Warranties
To the fullest extent permitted by law, Meerkads disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will meet your specific requirements or that results obtained from using the Platform will be accurate or reliable.
9.3 AI and Recommendations
AI-powered features, recommendations, budget suggestions, and forecasts are provided for informational purposes only. They do not constitute financial, legal, or professional advice. You are solely responsible for any decisions made based on Platform outputs.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Meerkads shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of the Platform.
In no event shall Meerkads's total aggregate liability to you exceed the amount you paid to Meerkads in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Meerkads and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
12. Term and Termination
12.1 Term
These Terms remain in effect for as long as you maintain an account or use the Platform.
12.2 Termination by You
You may terminate your account at any time by canceling your subscription and ceasing use of the Platform.
12.3 Termination by Meerkads
We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where practicable, except in cases of serious violations.
12.4 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, liability limitations, and dispute resolution) will remain in effect.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action.
13.4 EU and UK Users
Nothing in this section limits any rights you may have under mandatory consumer protection laws applicable in your country of residence, including rights available to EU and UK consumers under applicable law.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. For significant changes, we may also notify you by email. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Meerkads regarding the Platform.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
15.5 Force Majeure
Meerkads shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, government actions, or internet infrastructure failures.
